What is XAUgRights Certificate
This page explains the legal nature, core rights, gold backing and mechanics of XAUg. XAUg is the rights certificate of this financing round; it records the holder’s contributed interest, distribution entitlement and redemption right at maturity.
The diagram below shows the four rights recorded by one XAUg; the instrument’s legal nature (equity / debt / other) is subject to the regulator and legal opinion of the issuing jurisdiction.
Gold delivery claim
| Holdings | Proposed gold delivery claim |
|---|---|
| 1 unit | 0.01 g |
| 100 units | 1 g |
| 10,000 units | 100 g |
Mechanics: 1. Subscribe — funds earmarked for the corresponding line, not CREC’s existing business; 2. Record — XAUg rights certificates issued; 3. Distribute — after production, settlement allocated by agreed ratio; 4. Redeem — at maturity, redeem or exercise the gold delivery claim.

What it is not
Not a 100% vaulted token
Backing comes from mining operating cash flow; gold is settled from output, not fully vaulted at issuance.
Not direct gold custody
Holders hold a delivery claim and rights record, not direct custody of physical gold.
Security status unconfirmed
Legal nature is subject to the regulator and legal opinion of the issuing jurisdiction; see Compliance & Security.
